STANDARD TERMS AND CONDITIONS OF SALE

1. Definitions

    1. "Seller" refers to Starco Hardware Co.
    2. "Buyer" refers to the individual or company purchasing the goods.
    3. "Goods" refers to the building materials and accessories sold by the Seller.

2. Acceptance of Terms

    1. These terms and conditions apply to all sales transactions between the Seller and the Buyer. By placing an order, the Buyer accepts these terms in full.
    2. Any amendments or modifications to these terms must be agreed upon in writing by both parties.

3. Orders

    1. All orders are subject to acceptance and availability.
    2. The Seller reserves the right to refuse or cancel any order at its discretion.

4. Prices

    1. All prices quoted are in Kuwaiti Dinar (KWD).
    2. Prices are subject to change without prior notice. The price confirmed at the time of order acceptance will apply.

5. Payment Terms

    1. Payment must be made according to the terms agreed upon in the invoice or contract.
    2. Late payments may incur a penalty fee on the outstanding balance.
    3. The Seller reserves the right to withhold or delay delivery if payments are not made as agreed.

6. Delivery and Shipping

    1. Delivery dates are estimated and not guaranteed. The Seller will make reasonable efforts to deliver on the agreed date but is not liable for delays.
    2. Delivery costs, if applicable, will be borne by the Buyer unless otherwise stated.
    3. Risk of loss or damage to the Goods passes to the Buyer upon delivery.

7. Inspection and Acceptance

    1. The Buyer is responsible for inspecting the Goods upon receipt. Any discrepancies, damages, or defects must be reported to the Seller within [7] days of delivery.
    2. Failure to report any issues within this period will be considered acceptance of the Goods.

8. Returns and Refunds

    1. Returns for damaged, defective, or incorrect products will only be accepted, provided they are reported within [7] days of delivery.
    2. Goods must be returned in their original state, unused, and in a resalable condition.
    3. Refunds or replacements will be issued at the Seller's discretion after inspection of the returned Goods.

9. Warranty

    1. The Seller provides a [12-month] warranty on selected products, covering manufacturing defects only.
    2. The warranty does not cover damages from misuse, improper installation, or natural wear and tear.

10. Force Majeure

    1. The Seller shall not be liable for any failure to perform or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, or transport disruptions.

11. Limitation of Liability

    1. The Seller's liability for any claim arising from the sale of Goods is limited to the price paid by the Buyer for the specific Goods in question.
    2. The Seller shall not be liable for indirect, consequential, or incidental damages.

12. Intellectual Property

    1. All trademarks, designs, and other intellectual property related to the Goods remain the property of the Seller or its licensors. The Buyer has no right to reproduce, modify, or use any intellectual property without the Seller's written consent.

13. Governing Law

    1. These terms and conditions shall be governed by and interpreted under the laws of Kuwait.
    2. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the Kuwaiti courts.

14. General Provisions

    1. If any provision of these terms is invalid or unenforceable, the remaining provisions will remain in full force and effect.
    2. The Seller's failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
