Terms & Conditions

1. Definitions

  • Company: Refers to the supplier, importer, fabricator, or distributor issuing these Terms & Conditions.
  • Customer: Any individual or entity purchasing goods or services from the Company.
  • Goods: All building materials supplied, including imported, stocked, fabricated, or distributed items.
  • Order: Any purchase request submitted by the Customer and accepted by the Company.

2. Scope of Business

The Company imports, stocks, fabricates, sells, and distributes building materials within the State of Kuwait and, where applicable, to other approved markets. All transactions are governed by these Terms & Conditions unless otherwise agreed in writing.

3. Quotations & Pricing

  • All quotations are valid for 15 days unless otherwise stated.
  • Prices are subject to change due to fluctuations in exchange rates, freight costs, customs duties, and supplier pricing.
  • Prices exclude delivery, offloading, installation, and handling charges unless explicitly included.
  • Any typographical or calculation errors in quotations may be corrected by the Company.

4. Orders & Acceptance

  • Orders are only binding once confirmed in writing by the Company.
  • The Company reserves the right to reject or modify any order based on availability, technical feasibility, or compliance requirements.
  • Custom fabrication orders require advance approval of drawings/specifications.

5. Payment Terms

  • Standard payment terms are 100% upon delivery, unless a credit facility is approved.
  • For credit customers, payment is due within the agreed credit period.
  • The Company may suspend deliveries if outstanding invoices exceed the credit limit or payment terms.

6. Delivery & Risk

  • Delivery dates are estimates and not guaranteed.

  • Risk transfers to the Customer upon:

    • Delivery to the Customer’s site, or
    • Collection by the Customer or their representative.
  • The Customer is responsible for offloading, unless otherwise agreed.
  • Delays caused by customs, port congestion, force majeure, or supplier delays are not the Company’s responsibility.

7. Inspection & Claims

  • The Customer must inspect goods upon delivery.
  • Any shortages, damages, or defects must be reported in writing within 48 hours.
  • Claims made after this period may be rejected.
  • For fabrication items, dimensional tolerances follow industry standards unless otherwise specified.

8. Returns & Cancellations

  • Returns are accepted only with prior written approval.
  • Custom‑fabricated or cut‑to‑size items cannot be returned.
  • Approved returns may be subject to a restocking fee.
  • Cancelled orders may incur charges for materials, labor, or supplier penalties.

9. Warranty

  • The Company warrants that goods conform to the specifications provided by the manufacturer or fabricator.

  • Warranty does not cover:

    • Improper storage or handling
    • Incorrect installation
    • Misuse or modification
    • Normal wear and tear
  • The Company’s liability is limited to repair, replacement, or refund, at its discretion.

10. Compliance & Regulations

  • All imported and distributed materials comply with applicable Kuwait Municipality, Kuwait Fire Force, and Public Authority for Industry regulations where required.
  • The Customer is responsible for ensuring the goods meet the requirements of their specific project or authority.

11. Limitation of Liability

  • The Company is not liable for:

    • Indirect or consequential losses
    • Project delays
    • Loss of profit or business interruption
  • Maximum liability is limited to the value of the goods supplied under the relevant order.

12. Force Majeure

The Company is not responsible for delays or non‑performance caused by events beyond its control, including but not limited to:

  • Port closures
  • Customs delays
  • Natural disasters
  • Supplier shortages
  • Political or economic disruptions

13. Title of Goods

  • Title remains with the Company until full payment is received.
  • The Company may reclaim goods if payment is not made.

14. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of the State of Kuwait.

Any disputes shall be resolved through the Kuwaiti courts, unless arbitration is mutually agreed.

15. Amendments

The Company may update these Terms & Conditions at any time. The latest version will apply to all new orders.


الشروط والأحكام

التعريفات

الشركة: المورد أو المستورد أو المُصنِّع أو الموزّع الذي يصدر هذه الشروط والأحكام

العميل: أي فرد أو جهة تقوم بشراء البضائع أو الخدمات من الشركة.

البضائع: جميع مواد البناء التي توفرها الشركة، بما في ذلك المستوردة أو المخزنة أو المُصنَّعة أو الموزعة

الطلب: أي طلب شراء يقدمه العميل ويتم قبوله من قبل الشركة


نظاق العمل

تقوم الشركة باستيراد وتخزين وتصنيع وبيع وتوزيع مواد البناء داخل دولة الكويت وفي الأسواق المعتمدة الأخرى.



العروض والأسعار

تكون العروض صالحة لمدة ١٥ يومًا ما لم يُذكر خلاف ذلك

قد تتغير الأسعار نتيجة تغيّر أسعار الصرف أو الشحن أو الجمارك أو أسعار الموردين

لا تشمل الأسعار التوصيل أو التنزيل أو التركيب أو المناولة ما لم يُذكر خلاف ذلك

يحق للشركة تصحيح أي أخطاء مطبعية أو حسابية


الطلبات والقبول

تصبح الطلبات ملزمة فقط بعد تأكيدها كتابيًا من قبل الشركة

يحق للشركة رفض أو تعديل أي طلب بناءً على التوفر أو الجدوى الفنية

تتطلب الطلبات المُصنَّعة حسب الطلب اعتماد الرسومات/المواصفات مسبقًا


شروط الدفع

شروط الدفع القياسية: 100٪ عند التسليم ما لم يتم اعتماد تسهيلات ائتمانية

يجب على العملاء الائتمانيين السداد خلال الفترة المتفق عليها

قد يتم تعليق عمليات التسليم في حال وجود مبالغ مستحقة غير مدفوعة


التسليم وتحمل المخاطر

مواعيد التسليم تقديرية وليست مضمونة

تنتقل المسؤولية إلى العميل عند التسليم أو الاستلام

يتحمل العميل مسؤولية تنزيل البضائع ما لم يُتفق على خلاف ذلك

لا تتحمل الشركة مسؤولية التأخير الناتج عن الجمارك أو الموانئ أو الظروف القاهرة


الفحص والمطالبات

يجب فحص البضائع عند التسليم

يجب تقديم أي مطالبة خلال ٤٨ ساعة من التسليم

قد يتم رفض المطالبات المتأخرة

تخضع المنتجات المُصنَّعة لمعايير السماح المتعارف عليها في الصناعة


الإرجاع والإلغاء

يتطلب إرجاع البضائع موافقة كتابية مسبقة

لا يمكن إرجاع المنتجات المُصنَّعة حسب الطلب أو المقطوعة حسب المقاس

قد تُفرض رسوم إعادة تخزين على البضائع المقبول إرجاعها

قد يترتب على إلغاء الطلبات رسوم مواد أو عمالة


الضمان

تضمن الشركة مطابقة البضائع لمواصفات المصنع أو التصنيع

لا يشمل الضمان سوء الاستخدام أو التخزين غير السليم أو التركيب الخاطئ أو الاستهلاك الطبيعي

تقتصر مسؤولية الشركة على الإصلاح أو الاستبدال أو الاسترجاع


الامتثال واللوائح

تلتزم الشركة بأن تكون البضائع حسب اللوائح الكويتية المعمول بها عند الحاجة

يتحمل العميل مسؤولية التأكد من ملاءمة البضائع لمتطلبات مشروعه


حدود المسؤولية

لا تتحمل الشركة مسؤولية

الخسائر غير المباشرة أو التبعية

تأخيرات المشاريع

فقدان الأرباح أو توقف الأعمال

تقتصر المسؤولية القصوى على قيمة البضائع الموردة فقط

الظروف القاهرة

لا تتحمل الشركة مسؤولية التأخير الناتج عن أحداث خارجة عن إرادتها


ملكية البضائع

تبقى ملكية البضائع للشركة حتى استلام كامل المبلغ


القانون والاختصاص القضائي

تخضع هذه الشروط والأحكام لقوانين دولة الكويت

يتم حل أي نزاع عبر المحاكم الكويتية ما لم يتم الاتفاق على التحكيم


التعديلات

يحق للشركة تعديل هذه الشروط والأحكام في أي وقت

تُطبق النسخة الأحدث على جميع الطلبات الجديدة
